The Notified Professional Investor Fund (NPIF) regime offers a simplified route for Professional Investor Funds, striking the right balance between regulatory oversight and operational ease.
If you’re a fund promoter, family office, or alternative asset manager looking for an efficient setup with fewer regulatory hurdles, here’s everything you need to know about this innovative structure.
🔄 NPIFs at a Glance
Launched in 2023 by the Malta Financial Services Authority (MFSA), the NPIF framework was introduced to fast-track the launch of Professional Investor Funds (PIFs). Originally, NPIFs had to be externally managed by licensed asset managers—adding complexity and cost, particularly for smaller or more entrepreneurial promoters.
In 2024, the MFSA allowed single family officesto launch NPIFs through a company set up to manage such NPIF with no licence required, provided they don’t raise third-party capital.
This paved the way for the Self-Managed NPIF, officially introduced in February 2025—bringing the flexibility of PIFs into a simplified, faster-launch model.
🔍 Why Go for an NPIF?
The Notified PIF model is designed to simplify fund structuring while keeping investor protections in place. Whether you choose to go third-party managed or self-managed, the benefits are compelling.
First and foremost, the quick launch process means your fund can be listed on the MFSA’s public register within just 10 working days. There’s no need for pre-approval—a licensed Maltese service provider submits a notification pack, and that’s it.
NPIFs are targeted specifically at a qualified investors or professional investors as defined by Mifid. Investors must commit at least €100,000.
Another benefit? No depositary requirement—unlike Alternative Investment Funds (AIFs), NPIFs don’t require a custodian, reducing operational complexity. The only restriction? No lending—NPIFs cannot engage in lending activities, but nearly all other investment strategies are permitted.
